Terms of Service

By accessing, browsing, or using the MemoLink platform ("Platform"), available at memolink.io and through associated mobile applications and services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, which is incorporated herein by reference.

If you do not agree to all of these Terms, you must not access or use the Platform. Your continued use of the Platform following any modifications to these Terms constitutes your acceptance of the modified Terms.

You represent and warrant that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are between 16 and 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

These Terms constitute a legally binding agreement between you and MemoLink, a company based in the Republic of Uzbekistan.

For the purposes of these Terms, the following definitions apply:

• "Platform" means the MemoLink website at memolink.io, its API at api.memolink.io, associated mobile applications, and all related services, tools, and features provided by MemoLink.
• "User" means any individual who accesses, browses, registers for, or uses the Platform, including event organizers and attendees.
• "Content" means all text, images, photographs, videos, audio recordings, voice notes, data, files, graphics, and any other materials uploaded, posted, transmitted, or otherwise made available through the Platform.
• "User Content" means Content that is created, uploaded, or shared by Users on the Platform.
• "Services" means all functionality, features, and services provided through the Platform, including memory capsule creation, event management, invitations, RSVP, media storage, and any future features.
• "Memory Capsule" (or "Capsule") means a digital time capsule created by a User containing media, text, location data, and other content, which may be time-locked, geo-tagged, private, shared, or public.
• "Event" means a gathering, celebration, or occasion created and managed through the Platform's event management features, including weddings, birthdays, corporate events, and other celebrations.
• "Account" means the registered user account created to access and use the Platform's full features.

3.1 Account Creation

To access certain features of the Platform, you must create an Account by providing your phone number, first name, last name, email address, and a password. You must verify your phone number through a one-time password (OTP) sent to you during the registration process.

3.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy. Providing false, misleading, or fraudulent information is grounds for immediate account suspension or termination.

3.3 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any authentication tokens stored on your device. You agree to:

• Create a strong, unique password that you do not use for other services
• Not share your account credentials with any other person
• Immediately notify MemoLink of any unauthorized access to or use of your account
• Log out from your account when using shared or public devices

MemoLink will not be liable for any loss or damage arising from your failure to secure your account credentials. You are fully responsible for all activities that occur under your account, whether or not authorized by you.

3.4 One Account Per User

Each User may maintain only one Account. Creating multiple accounts is a violation of these Terms and may result in the suspension or termination of all associated accounts.

4.1 License to Use

Subject to your compliance with these Terms, MemoLink grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use. This license does not include the right to:

• Modify, copy, distribute, or create derivative works based on the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform for any commercial purpose without our prior written consent
• Use automated systems, bots, scrapers, or similar tools to access or collect data from the Platform
• Sublicense, sell, or transfer your access to the Platform

4.2 Availability

We strive to maintain the Platform's availability at all times but do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any feature or service at any time without prior notice.

4.3 Updates and Modifications

We continuously improve the Platform and may introduce new features, modify existing features, or retire certain functionality. We will make reasonable efforts to notify you of significant changes that may affect your use of the Platform.

5.1 Ownership

You retain all ownership rights in and to the User Content you create, upload, or share on the Platform. MemoLink does not claim ownership of your User Content.

5.2 License Grant to MemoLink

By uploading, posting, or sharing User Content on the Platform, you grant MemoLink a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and perform your User Content solely for the purposes of:

• Operating, providing, and improving the Platform and its Services
• Displaying your Content to other users as determined by your privacy and sharing settings
• Creating backups, caches, and copies necessary for the technical operation of the Platform
• Generating aggregated, anonymized, or de-identified data for analytics and service improvement

This license continues for as long as your Content remains on the Platform. When you delete your Content, this license terminates, subject to reasonable time for technical removal and any legal obligations requiring retention.

5.3 Content Representations

You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to upload and share all User Content
• Your User Content does not infringe, violate, or misappropriate any third party's intellectual property rights, privacy rights, or any other rights
• Your User Content complies with all applicable laws and these Terms
• You have obtained consent from any identifiable individuals appearing in your photos, videos, or other media

5.4 Content Removal

MemoLink reserves the right, but not the obligation, to review, monitor, and remove User Content that violates these Terms, applicable laws, or our community standards, at our sole discretion and without prior notice.

6.1 MemoLink's Intellectual Property

The Platform, including its entire codebase, design, user interface, graphics, logos, trademarks (including "MemoLink," "Memoverse," "MemoMap," "MemoFamily," "MemoTwin," "MemoID," "MemoChain," "MemoSense," "MemoHealth," "MemoStory," "MemoLive," and all related names and marks), algorithms, APIs, documentation, and all other aspects of the Platform, are owned by MemoLink or its licensors and are protected by intellectual property laws of the Republic of Uzbekistan and international intellectual property treaties.

6.2 Restrictions

You may not:

• Copy, modify, or distribute any portion of the Platform's code, design, or content without express written permission
• Use MemoLink's trademarks, logos, or brand names in any manner that suggests endorsement, affiliation, or sponsorship without prior written consent
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices displayed on the Platform
• Use any MemoLink intellectual property to create competing or derivative products or services

6.3 Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Platform ("Feedback"), you grant MemoLink an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Platform without any obligation to you.

You agree not to engage in any of the following prohibited activities when using the Platform:

7.1 Illegal and Harmful Activities

• Using the Platform for any unlawful purpose or in violation of any applicable local, national, or international law or regulation
• Uploading, sharing, or distributing content that is illegal, defamatory, obscene, pornographic, threatening, harassing, hateful, discriminatory, or otherwise objectionable
• Promoting violence, terrorism, self-harm, or illegal activities
• Exploiting, harming, or attempting to exploit or harm minors in any way
• Impersonating any person, entity, or falsely stating or misrepresenting your affiliation with a person or entity

7.2 Platform Integrity

• Attempting to gain unauthorized access to any part of the Platform, other user accounts, or computer systems or networks connected to the Platform
• Interfering with, disrupting, or creating an undue burden on the Platform's infrastructure, servers, or networks
• Introducing malware, viruses, trojans, worms, or other harmful code or technology
• Using automated scripts, bots, crawlers, scrapers, or other automated means to access or collect data from the Platform
• Circumventing, disabling, or otherwise interfering with security features or access controls of the Platform
• Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Platform

7.3 Content and Communication

• Sending spam, unsolicited messages, or bulk communications through the Platform
• Creating fake events or providing misleading event information to deceive other users
• Uploading content that infringes on any patent, trademark, copyright, trade secret, or other intellectual property or proprietary right of any party
• Using the Platform to collect, harvest, or store personal data of other users without their consent
• Creating misleading or fraudulent memory capsules or event content

7.4 Commercial Misuse

• Using the Platform for unauthorized commercial purposes, advertising, or solicitation
• Selling, transferring, or attempting to sell or transfer your account or any Platform feature to another party
• Using the Platform to promote or operate competing services without prior written consent

Violation of any of these prohibitions may result in immediate suspension or termination of your account, removal of Content, and potential legal action.

8.1 Event Creation and Management

The Platform provides tools for creating and managing events, including creating event listings, sending invitations, managing RSVPs, and collecting shared media. When you create an event, you act as the event organizer and assume responsibility for:

• Ensuring all event information (title, description, date, time, location) is accurate and up to date
• Managing the event's attendee list and access settings
• Complying with all applicable local laws and regulations regarding the event
• Ensuring the event does not violate these Terms or any applicable laws

8.2 Event Attendance

When you register for or attend an event through the Platform, you understand that:

• Your registration information may be shared with the event organizer
• You may appear in photos and videos taken at the event by other attendees and shared through the Platform
• You are responsible for your own safety and conduct at the event

8.3 MemoLink's Role

MemoLink provides the Platform as a tool for event organization and memory preservation. MemoLink is not an event organizer, venue operator, or service provider for any events created on the Platform. We do not guarantee the quality, safety, legality, or occurrence of any event listed on the Platform. Any disputes between event organizers and attendees should be resolved directly between the parties involved.

9.1 Current Services

The Platform is currently available free of charge. Core features including memory capsule creation, event management, invitations, and RSVP functionality are provided at no cost.

9.2 Future Paid Features

MemoLink reserves the right to introduce paid features, subscription plans, or premium services in the future ("Paid Services"). These may include but are not limited to:

• Premium event management features (MemoEvent Pro)
• Enhanced storage for media content
• Advanced AR and AI features
• Professional invitation templates and customization
• Priority customer support
• Enterprise and organizational plans

If and when Paid Services are introduced, we will clearly communicate pricing, billing terms, and cancellation policies before you are required to make any payment. You will not be charged for any service without your explicit consent.

9.3 Third-Party Payments

Any future payments will be processed through secure, industry-standard third-party payment processors. MemoLink will not directly store your complete payment card information on our servers.

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEMOLINK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES of merchantability, fitness for a particular purpose, title, and non-infringement
• WARRANTIES REGARDING the accuracy, reliability, completeness, or timeliness of any content, data, or information available through the Platform
• WARRANTIES THAT the Platform will be uninterrupted, error-free, secure, virus-free, or available at any particular time or location
• WARRANTIES THAT any defects or errors will be corrected
• WARRANTIES REGARDING the preservation, integrity, or availability of User Content, including memory capsules and event data

MEMOLINK DOES NOT WARRANT THAT MEMORY CAPSULES WILL BE PRESERVED INDEFINITELY OR THAT TIME-LOCKED CAPSULES WILL OPEN AT THE PRECISE SCHEDULED TIME. WHILE WE MAKE EVERY EFFORT TO ENSURE THE RELIABILITY OF OUR SERVICES, TECHNOLOGICAL LIMITATIONS AND UNFORESEEN CIRCUMSTANCES MAY AFFECT SERVICE DELIVERY.

YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUP COPIES OF YOUR IMPORTANT DATA AND CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

11.1 IN NO EVENT SHALL MEMOLINK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Loss of or damage to User Content, memory capsules, or event data
• The cost of procurement of substitute services
• Unauthorized access to or alteration of your data or transmissions
• Any damages resulting from events organized through the Platform
• Any other matter relating to the Platform or Services

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MEMOLINK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 IN NO EVENT SHALL MEMOLINK'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO MEMOLINK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

11.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless MemoLink, its directors, officers, employees, agents, partners, suppliers, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

• Your use of or access to the Platform
• Your User Content, including any claims that your Content infringes or violates third-party rights
• Your violation of these Terms or any applicable law or regulation
• Your violation of any third party's rights, including intellectual property, privacy, or publicity rights
• Events you organize through the Platform and any related claims from attendees or third parties
• Any misrepresentation you make under these Terms

MemoLink reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You will not settle any claim without MemoLink's prior written consent.

13.1 Termination by You

You may terminate your Account at any time by contacting us through the channels listed in the Contact section. Upon termination:

• Your right to access and use the Platform will immediately cease
• All User Content associated with your account, including memory capsules, event data, and media, will be scheduled for deletion in accordance with our data retention policy
• Any pending time-locked capsules that have not yet opened will be permanently deleted
• Your data will be removed from our active systems within 90 days, subject to legal retention requirements

13.2 Termination by MemoLink

MemoLink reserves the right to suspend or terminate your Account, remove your Content, and restrict your access to the Platform at any time, with or without cause and with or without notice, including but not limited to cases where:

• You violate any provision of these Terms
• You engage in prohibited conduct as described in Section 7
• Your account is used for illegal or fraudulent activities
• Continued provision of the Platform to you is not commercially viable
• We are required to do so by law, regulation, or court order

13.3 Effects of Termination

Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Sections that by their nature should survive termination shall survive, including but not limited to: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and any accrued rights or obligations.

14.1 Governing Law

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan, without regard to its conflict of law principles.

14.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform informally by contacting us through the channels listed in the Contact section. We will attempt to resolve the dispute through good-faith negotiation within 30 days.

14.3 Jurisdiction

If informal resolution is not successful, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Tashkent, Republic of Uzbekistan. You consent to the personal jurisdiction and venue of such courts and waive any objections to the convenience of the forum.

14.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY CLAIMS OR DISPUTES SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

MemoLink reserves the right to modify, amend, or update these Terms at any time at our sole discretion. When we make changes:

• We will update the "Effective Date" at the top of these Terms
• For material changes, we will provide notice through the Platform (such as an in-app notification, banner, or pop-up) at least 14 days before the changes take effect
• We may also notify you via email or SMS for significant changes

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform and may terminate your account.

We encourage you to review these Terms periodically to stay informed of any updates. The most current version of the Terms will always be available on the Platform.

16.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

16.2 Waiver

The failure of MemoLink to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by MemoLink.

16.3 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by MemoLink on the Platform, constitute the entire agreement between you and MemoLink regarding the use of the Platform, and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, with respect to the subject matter hereof.

16.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without MemoLink's prior written consent. MemoLink may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
